1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Resistance.ai ("Company," "we," "us," or "our") concerning your access to and use of our website and services.

By accessing or using our services, you agree that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services.

2. Beta Program Terms

2.1 Beta Access

Our beta program provides early access to Resistance.ai services. By joining the beta waitlist or participating in the beta program, you acknowledge that:

  • Beta services are provided "as is" and may contain bugs, errors, or other issues
  • Features may be modified, limited, or discontinued at any time without notice
  • Data collected during beta testing may be used to improve our services
  • Beta access does not guarantee future access to production services
  • We reserve the right to terminate beta access at any time for any reason

2.2 Beta Feedback

By participating in the beta program, you may provide feedback, suggestions, or ideas about our services. You grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback into our services without compensation or attribution.

3. Waitlist and Referral Program

3.1 Waitlist Registration

When you join our waitlist:

  • You must provide accurate and complete information
  • You are responsible for maintaining the confidentiality of your waitlist position and referral code
  • You may only register once with a unique email address
  • We reserve the right to remove users who violate these terms

3.2 Referral Program Rules

Our referral program allows you to advance your waitlist position by referring others. The following rules apply:

  • Referrals must be legitimate users who sign up voluntarily
  • Automated signups, fake accounts, or spam are strictly prohibited
  • We reserve the right to invalidate referrals that violate these rules
  • Bonus spots are awarded at our discretion and may be modified or revoked
  • Referral rewards do not guarantee specific waitlist positions or access timing
  • We may modify or terminate the referral program at any time

3.3 Prohibited Conduct

You may not:

  • Create multiple accounts or use fake email addresses
  • Use automated tools or bots to generate referrals
  • Engage in fraudulent or deceptive practices to gain referrals
  • Share or sell your referral code for commercial purposes
  • Spam or harass others to use your referral code

4. User Accounts and Responsibilities

When you create an account with us, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use of your account

5. Intellectual Property Rights

The services, including all content, features, and functionality, are owned by Resistance.ai and are protected by copyright, trademark, and other intellectual property laws.

You may not:

  • Copy, modify, or distribute our content without permission
  • Reverse engineer or attempt to extract source code
  • Remove or alter any copyright or proprietary notices
  • Use our trademarks or branding without written consent

6. Health and Fitness Disclaimer

Important: Resistance.ai provides fitness and training guidance, but we are not medical professionals. Our services are not intended to diagnose, treat, cure, or prevent any disease or medical condition.

You acknowledge that:

  • Physical exercise involves inherent risks of injury
  • You should consult a healthcare provider before starting any fitness program
  • You are responsible for assessing your own fitness level and limitations
  • You will stop exercising if you experience pain, discomfort, or unusual symptoms
  • We are not liable for any injuries or health issues resulting from use of our services

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, RESISTANCE.AI SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Personal injury or property damage resulting from use of our services
  • Any damages arising from third-party services or content
  • Interruptions, delays, or errors in our services

Our total liability to you for all claims shall not exceed the amount you paid to us in the twelve months preceding the claim, or $100, whichever is greater.

8. Indemnification

You agree to indemnify, defend, and hold harmless Resistance.ai and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our services, violation of these Terms, or infringement of any rights of another party.

9. Service Availability

We strive to provide reliable services, but we do not guarantee that our services will be available at all times. Services may be interrupted for maintenance, updates, or due to factors beyond our control. We are not liable for any losses resulting from service unavailability.

10. Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • At our sole discretion

Upon termination, your right to use the services will immediately cease. Provisions that by their nature should survive termination shall survive, including intellectual property rights, disclaimers, and limitations of liability.

11. Dispute Resolution and Arbitration

Any disputes arising from these Terms or your use of our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, rather than in court.

You agree to:

  • Resolve disputes through individual arbitration, not class actions
  • Waive your right to a jury trial
  • Waive your right to participate in a class action lawsuit

This arbitration clause does not prevent you from bringing issues to the attention of federal, state, or local agencies.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on our website
  • Updating the "Last Updated" date
  • Sending an email notification (for significant changes)

Your continued use of our services after changes become effective constitutes acceptance of the modified Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Resistance.ai regarding our services and supersede all prior agreements and understandings.
